Articles of Incorporation & Corporate Seals

Articles of incorporation are documents that are filed with the division of corporations in your respective states.  These articles include the purpose of the business, the name of the personal (and address) that represents the company and can accept legal documents on its behalf.  This person doesn’t necessarily have to have ownership in the entity.

In the United States, a certificate of incorporation is a legal document that is given to a business after the articles of incorporation have been approved by the appropriate state’s office. In a nutshell, this certificate symbolizes the completion of the formation process. In other states the certificate of incorporation is just another name for the articles of incorporation, even after the incorporation proceedings are finished the corporation doesn’t receive anything but a certified copy of their articles of incorporation.

No matter if they are called articles of incorporation or a certificate of incorporation they are an integral part of forming a corporation. If your do not properly fill out the articles of incorporation your company request will be denied. The good news is that they will send you back your articles of incorporation with a note attached as to why the request was denied, so you can go back and fix any mistakes and re-file the articles of incorporation. Upon filing your articles of incorporation, you will also need to pay the required filing fee, which varies depending on the state.

Unlike the articles of incorporation, the corporate seal stamp is not something that is required for your business to have. This means if you choose not to get a corporate seal stamp you will still be able to function as a real entity under the business name, but you might be limited in some regards. If you choose not to get a corporate seal stamp, you might have to look around at different banks to open an account for your corporation because some banks require a corporate seal before they will allow you to open an account.
